HayBuy Terms of Service for Beta Period

Welcome to HayBuy ("Company," "we," "our," or "us"). Please read the following Terms of Service ("Terms") carefully as the Terms govern your use of the HayBuy Services, features, or content provided on it.

1. Acceptance of Terms

By accessing or using the HayBuy product and services or joining the waitlist for our product, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not sign up for or use our product.

2. Product Description

The HayBuy website provides information about our upcoming hay buying platform. HayBuy designed the platform to assist users with sourcing and buying hay. Further details about the product's features and functionality will be provided upon its release.

3. Beta Product Acknowledgment

Please note that the product described on the website is currently in a beta development phase. As a beta product, it may contain errors, bugs, or other issues, and its features and functionality may change significantly before a final release. Your access to and use of the beta product will be subject to additional terms and conditions specific to beta testing, which will be provided to you at that time.

4. Waitlist

By joining our waitlist, you are expressing your interest in our product. Inclusion on the waitlist or completion of the signup does not guarantee access to the beta product or any future version of the product. We reserve the right to select users at our sole discretion.

5. Registration

You will be required to create an account user name and password. You agree to keep your user information confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that the name is inappropriate, obscene or otherwise objectionable.

6. No Guarantees

We do not guarantee the availability, functionality, or error-free operation of this website, beta product or any future product or services. We reserve the right to modify, suspend, or discontinue any product or services at any time without notice.

7. Fees

  • During the beta period, HayBuy has waived the fees for usage of the Services.
  • In the future, some features will have fees. You will be able to review and agree to them before you are charged.
  • All HayBuy fees are in U.S. dollars, earned upon completion of services, and are non-refundable, except as required by law.
  • HayBuy may change pricing after giving you advance notice. You are encouraged to check About/FAQ - HayBuy for the most current information.
  • You authorize HayBuy to charge your selected payment method for any fees.
  • You agree that taxes may apply to your purchase and you and/or the seller are responsible for collection and remittance of taxes to tax authorities.
  • If you use a credit card, HayBuy may temporarily pre-authorize your card to verify it's valid and has enough funds.

8. License

We grant to you a limited, non-exclusive, non-assignable, non-transferable license to access and use the Services for your own personal, non-commercial purposes, subject to your agreement to and compliance with this Agreement. We reserve all rights not otherwise expressly granted by this Agreement.

9. Prohibited Conduct

By using the HayBuy Service, you agree NOT to:

  • use the Service for any illegal purpose or in violation of any local, state, national, or international law;
  • harass, threaten, demean, embarrass, bully, or otherwise harm any other user of the platform;
  • violate, encourage others to violate, or provide instructions on how to violate, any right of a third party, including by infringing or misappropriating any third-party intellectual property right;
  • post false, inaccurate, misleading, deceptive, defamatory, or libelous content;
  • access, search, or otherwise use any portion of the Service through the use of any engine, software, tool, agent, device, or mechanism (including spiders, robots, crawlers, and data mining tools) other than the software or search agents provided by HayBuy and its affiliates;
  • interfere with security-related features of the Service, including by: (i) disabling or circumventing features that prevent or limit use, printing or copying of any content; or (ii) reverse engineering or otherwise attempting to discover the source code of any portion of the Service except to the extent that the activity is expressly permitted by applicable law;
  • interfere with the operation of the Service or any user's enjoyment of the Service, including by:
    • uploading or otherwise disseminating any virus, adware, spyware, worm, or other malicious code;
    • making any unsolicited offer or advertisement to another user of the Service;
    • collecting personal information about another user or third party without consent; or
    • interfering with or disrupting any network, equipment, or server connected to or used to provide the Service;
  • perform any fraudulent activity including impersonating any person or entity, claiming a false affiliation or identity, accessing any other Service account without permission, or falsifying your age or date of birth;
  • sell or otherwise transfer the access granted under these Terms; or
  • attempt to do any of the acts described in this Section 9 (Prohibited Conduct) or assist or permit any person in engaging in any of the acts described in this Section 9 (Prohibited Conduct).

10. Terms and Termination

HayBuy's Terms of Service are in effect as soon as you use the service or create an account, See Paragraph 1, and they remain in effect until they are terminated.

How the Agreement Can End

  • Automatic Termination: Your access and the terms automatically end if you violate any of the rules of these Terms.
  • By HayBuy: HayBuy can end your account or access at any time, for any reason (or no reason), without notice or liability to you.
  • By You: You can terminate your account at any time by contacting customer service.

What Happens When the Agreement Ends

  • Loss of Access: You will immediately lose all rights to use the service and your account.
  • Unpaid Fees: You are still responsible for paying any money you owed before termination.
  • Survival of Terms: Certain legal clauses, such as those regarding ownership, liability, disclaimers, and governing law, will continue to apply even after termination.
  • No New Account: If your account was terminated for a breach of the terms, you are not allowed to create a new account.

11. Disclaimer of Warranties

ALL INFORMATION, CONTENT, MATERIALS, AND SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU ARE PROVIDED BY HAYBUY AND ITS AFFILIATES. ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOU ASSUME ALL RISKS AND ALL COSTS ASSOCIATED WITH THE USE OF THE PRODUCT AND SERVICES.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HAYBUY OR ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PRODUCT OR SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY USING THE PRODUCT OR SERVICE (III) ANY CONTENT OBTAINED FROM THE PRODUCT OR SERVICE WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

ADDITIONALLY, TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF HAYBUY AND ITS AFFILIATES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE SERVICE OR OTHERWISE UNDER THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE GREATER OF: (a) THE AMOUNT YOU HAVE PAID TO HAYBUY OR ITS AFFILIATES FOR ACCESS TO AND USE OF THE SERVICE IN THE 12 MONTHS PRIOR TO THE EVENT OR CIRCUMSTANCE GIVING RISE TO THE CLAIM OR (b) US$100.

13. Indemnification

You agree to defend, indemnify, and hold HayBuy, its affiliates, and our officers, members, managers, employees, and agents harmless from and against any and all claims, liabilities, damages, losses, demands, or expenses, including attorney's fees and costs and expenses, arising out of or in any way connected with your use of the Services, your breach or alleged breach of this Agreement, unauthorized use of your account, or your violation of any rights of any other person.

14. Intellectual Property

All intellectual property rights for the website, the product and service, and everything related to them, including copyrights, patents, trade secrets, and trademarks, are the property of HayBuy and its affiliates. and are protected by intellectual property laws.

15. Feedback

You may be asked to provide feedback in connection with our product or service, but have no obligation to do so. If you choose to do so, we may use the feedback for any purpose, including developing and improving the product and service without any payment or other obligations to you.

16. Governing Law

The Terms of Service shall be governed by and construed in accordance with the laws of the State of Kansas, without regard to its conflict of law principles. You agree that any legal action or proceeding related to this policy shall be brought exclusively in the state or federal courts located in Overland Park, Kansas and you consent to the jurisdiction of those courts.

17. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 5 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our product or services after those revisions become effective, you agree to be bound by the revised terms.

18. Electronic Communications

By creating an account and providing your phone number, you expressly agree to receive electronic communications from HayBuy. We communicate with you via email, phone, SMS, and in-app messaging for two purposes:

Transactional Communications – These include account notifications, order status updates, supplier quotes, security alerts, and other service-related messages necessary to operate your account. You agree to receive these communications as part of your use of the Haybuy platform.

  • Transactional SMS are sent only to users who provide their phone number and opt in at signup.
  • Each SMS includes opt-out instructions (e.g., "Reply STOP to unsubscribe").
  • You may also opt out of SMS notifications at any time from your account settings.

Marketing Communications (Optional) – With your separate and explicit consent, we may send you promotional offers, newsletters, or other marketing messages. You are not required to consent to marketing SMS to use the HayBuy platform and you may opt out of these communications at any time by following the unsubscribe instructions provided in the message.

  • If you wish to opt out of all communications from HayBuy, in addition to the methods described above, you may contact HayBuy at support@haybuy.co
  • You acknowledge that opting out of receiving all messages may impact your use of HayBuy's services.

19. Privacy Policy

Please read the HayBuy Privacy Policy at Privacy Policy - HayBuy (the "Privacy Policy") carefully for information relating to our collection, use, storage, and disclosure of your personal information. The Privacy Policy is incorporated by this reference into, and made a part of, these Terms.
